[*]Realty Income (O) declares Nov. 2 as the record date for the spin off, and Nov. 12 as the distribution date.
[*]The spinoff will be accomplished via a pro rata dividend of one share of Orion common stock for every ten shares of Realty Income (O) common stock outstanding as of the record date for the spinoff.
[*]Realty Income (O) shareholders will receive cash in lieu of fractional shares in the spinoff.
cave:
Immediate AFFO per share accretion. Relative to the $3.465 midpoint of Realty Income's 2021 AFFO per share guidance, the transaction is expected to be over 10% accretive to shareholders on an annualized, leverage-neutral basis.
